At NEON.BG, we work daily with customer and partner drawings, 3D models, manufacturing files, prototypes, pricing and know-how. Confidentiality is a natural part of industrial manufacturing, and we take it seriously.
At the same time, we believe an NDA should have a clear and proportionate purpose: protecting genuinely confidential information without unnecessarily restricting either party’s normal business and manufacturing activities.
Our principles
- We support Mutual NDAs where both parties exchange sensitive information.
- Confidential Information should be used only for a clearly defined purpose – evaluation, quotation, development or performance of a specific project.
- We protect drawings, CAD/STEP/DXF files, specifications, prototypes, pricing and commercial know-how using reasonable organisational and technical measures.
- An NDA should not create a hidden non-compete, exclusivity, restriction on working with other customers, or a general restriction on manufacturing ordinary or similar industrial components.
- Each party retains its pre-existing know-how, manufacturing methods and intellectual property.
- Contractual liability should be reasonable and proportionate to the nature and scale of the potential cooperation.
- At an early stage, we may first evaluate representative non-confidential parts before sensitive information needs to be exchanged.
Our standard Mutual NDA is structured around the principles of the European trade-secret protection framework, with clearly defined governing law and a predictable contractual process. We are also prepared to review a counterparty’s NDA where appropriate.
NEON.BG treats confidentiality as a two-way professional responsibility: we protect the information entrusted to us and expect equivalent protection for our own engineering solutions, pricing and know-how.
